Mr. Willens is an associate and member of the transactional practice group of Hart, King & Coldren. Mr. Willens’ experience includes representation of various sizes of public and private clients in a wide range of corporate and securities transactions, including corporate and LLC formations; partnership and shareholder agreements; director and shareholder meetings and minutes; venture capital and private equity financing transactions; mergers and acquisitions; general business and commercial contract preparation, review and negotiation; and private placement memorandums and other securities offerings.

Mr. Willens counsels companies from original business plans through initial public offerings and beyond. He has served as general counsel to many clients and their boards of directors, helping to develop and execute their business strategies and advising them on day-to-day legal and strategic issues.

In recent transactions, Mr. Willens represented:

• Non-SEC reporting company in reclassifying its designation on Pink OTC Markets from “Caveat Emptor” to “Current Information.”
• Private operating company in $6 million reverse merger transaction with Pink OTC shell company and positioned new company for AMEX listing.
• Target company in $10 million interstate merger involving the acquisition of target’s transcription business.
• Buyer in $55 million asset sale for the purchase of a Southern California automobile dealership.
• Target company in $9 million exchange reorganization for the acquisition of target’s insurance agency business.
• Auto finance company in the acquisition of $2 million of private equity financing.
• Start-up golf company in the acquisition of $2 million of venture capital through the issuance of preferred stock, convertible debentures, and warrants.
• Video company in the acquisition of $3 million of private funding through the sale of LLC Units pursuant to a Regulation D offering to accredited investors.
