Pamela R. Milner is a partner and a member of the transactional department of the law firm of Hart, King & Coldren, focusing on real estate, franchise and business transactional matters. For more than twenty years, Ms. Milner has represented clients in commercial real estate and business transactions. As in-house counsel, Ms. Milner has also gained an expertise in franchise transactions, franchise relationship, registration and disclosure matters. Ms. Milner also represents small and mid-size business entities in connection with private company business transfers, mergers and acquisitions and financings.

For the past seven years, Ms. Milner served as general counsel for the national restaurant quick-serve chain of El Pollo Loco, Inc. As chief legal counsel, she was responsible for all legal matters, including litigation management, franchise disclosure and registration, real estate, trademarks, and corporate governance matters. In addition, as in-house counsel, she has acted as lead counsel on several major acquisitions, divestiture and finance transactions involving various corporate entities, acquiring intensive general business law experience. Ms. Milner was responsible for obtaining and maintaining legal clearance for El Pollo Loco to sell franchises nationwide and for negotiating several major area developer agreements.

Ms. Milner has negotiated numerous restaurant leases and purchases on behalf of casual dining companies, such as California Pizza Kitchen and Chevys Mexican Restaurant, as well as quick-serve concepts such as El Pollo Loco, Taco Bell, Pizza Hut and KFC. She has also enjoyed representing clients in office and industrial leases and acquisitions.

  • In 2005, general counsel for the sale of El Pollo Loco, Inc. in an auction process resulting in a successful $415 million M&A transaction between private equity firms, utilizing public and private financing.
  • Managed, drafted and negotiated several multi-state, multi-unit restaurant refranchising transactions for Taco Bell and Pizza Hut, Cocos, Carrows and El Pollo Loco.
  • Prepared all annual franchise documents, including offering circulars to enable nationwide franchise sales.
  • Real Estate counsel to Frito-Lay in connection with $100 million acquisition of Eagle Snacks production facilities from Anheuser-Busch in 4 states.

Ms. Milner is a frequent lecturer and has taught various courses including International Business Law and Legal Aspects of Human Resource Management at Webster University in Irvine, California, as well as various in-house real estate and franchise seminars.
